Version 1.0 · Effective 22 Sep 2026
Metatron Launchpad — Terms of Use
Version 1.0 · Effective 22 Sep 2026 · Beta
In short
- Metatron Launchpad is beta software that helps you design, test, launch and manage your own token contracts, from your own wallet. It may change, break or stop.
- We never hold your keys, your tokens or your money. Every transaction is signed by you. We cannot reverse, freeze or recover anything on a blockchain.
- Nothing here is advice, an offer, a sale, a listing, a promise or a guarantee. Your token is yours, and so is its legal compliance.
- You use the Service at your own risk. Blockchains, wallets and third-party services can fail or be attacked. We are not responsible for losses, including theft from your wallet.
- Disputes are resolved by individual arbitration, not in court, and not as a class action. You may opt out within 30 days (Section 21).
NOTICE OF ARBITRATION AND CLASS ACTION WAIVER: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION AND JURY TRIAL WAIVER (SECTION 21). THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM.
1. Acceptance, eligibility and electronic agreement
1.1 These Terms of Use (the "Terms") are a binding agreement between you and [ENTITY LEGAL NAME], a company organized under the laws of [Israel / COUNSEL], with its principal office at [ADDRESS] ("Metatron", "we", "us"). They govern your access to and use of the Metatron Launchpad website, application, public token pages, bots, emails and related services (together, the "Service").
1.2 By ticking the acceptance box, creating an account, or using the Service, you accept these Terms and our Privacy Policy. Ticking the box is your electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act and applicable state law. We record the version you accepted, the time, and technical details of the acceptance.
1.3 You may use the Service only if you are at least 18 years old, have the legal capacity to enter into this agreement, and are not barred from using it under Section 8. If you use the Service for a company or other organization, you represent that you are authorized to bind it, and "you" includes that organization.
1.4 If you do not agree to these Terms, do not use the Service.
2. The Service is beta software
2.1 The Service is provided as a beta. Features may be incomplete, may change without notice, may contain errors, and may be suspended or discontinued at any time. We make no commitment about availability, uptime, response times, support, or the continuation of any feature.
2.2 The Service is a software tool. It prepares transactions that you review and sign in your own wallet, reads public blockchain data, and organizes information you provide. It does not act for you, hold anything for you, or make decisions for you.
2.3 "Rehearsal" deployments on test networks and "launch" deployments on live networks are both real, permanent deployments of contract code to public blockchains, made by you. A rehearsal that passes our checks means the deployed contract's readable parameters matched your design at that time; it does not mean the contract, your token or your plans are safe, lawful or suitable for any purpose.
3. Non-custodial: your wallet, your keys, your control
3.1 Metatron never generates, holds, stores, sees, transmits or recovers your private keys, seed phrases, passwords for wallets, or funds. We will never ask for a seed phrase. Anyone who asks for your seed phrase in our name is not us.
3.2 Every transaction, deployment, transfer, lock, claim, release or approval is signed by you in a wallet you control. We cannot cancel, reverse, speed up, freeze, or recover any transaction, token or funds, and we cannot restore access to a wallet.
3.3 The exception to 3.1 is a Metatron-controlled "drip" wallet that may send small amounts of test-network coins, which have no value, to your wallet on test networks. That wallet is ours, never yours, and never holds anything of value.
3.4 You are solely responsible for your wallet, its security, its backup, the device you use, and every transaction you sign, including transactions you sign by mistake or as a result of phishing, malware, or a compromised device or wallet.
4. No advice
4.1 Nothing in the Service, including the in-app guide, templates, defaults, "recommended" labels, explanations, readiness indicators, health flags, examples of existing tokens, calculators, generated documents, listing kits, or any communication from us, is investment, financial, legal, tax, accounting, securities, or regulatory advice, or a recommendation to take or refrain from any action.
4.2 The guide and the defaults are general information about how tokens are commonly structured. They are not tailored to you, do not consider your circumstances, and are not a substitute for licensed professionals. Metatron is not an investment adviser, broker, attorney, accountant or fiduciary, and no fiduciary or advisory relationship is created by your use of the Service.
4.3 Examples of existing, well-known tokens shown in the Service are public information about third-party projects, shown only to illustrate common structures. Metatron is not affiliated with those projects, does not endorse them, and does not suggest that any structure will produce any result.
5. No offer, sale, listing or endorsement; what Metatron is not
5.1 Metatron does not create, issue, own, sell, offer, distribute, promote, list, market, make markets in, or endorse any token created, imported or managed through the Service. Each token belongs to the user who deploys it. Metatron is not a party to any token, its community, its market, or any agreement between a token's creator and any other person.
5.2 The Service does not conduct token sales, presales, initial coin offerings, initial DEX offerings, auctions, fundraising or capital raising of any kind, and does not match buyers and sellers.
5.3 Metatron is not a broker-dealer, securities exchange, alternative trading system, investment adviser, transfer agent, clearing agency, commodity pool operator, futures commission merchant, money transmitter, money services business, virtual currency business, custodian, payment processor, or bank, and is not registered or licensed as any of these with any authority. The name "Launchpad" describes software that helps you deploy your own contracts; it does not describe a fundraising platform.
5.4 Nothing in the Service is, or should be read as, an offer to sell or a solicitation of an offer to buy any security, commodity, token or other instrument in the United States or anywhere else.
5.5 We do not guarantee, and nothing in the Service suggests, that any token will be listed by any exchange or aggregator, will have any price, liquidity, volume, market value, holders or adoption, or will function as you intend. Exchanges, aggregators, explorers, wallets and market participants decide independently.
6. Your token is your responsibility
6.1 You are solely responsible for your token and everything about it, including:
(a) whether creating, distributing, marketing, selling or operating it is lawful in every jurisdiction where you act or where holders are located; (b) whether it is a security, commodity, derivative, deposit, stored value, or other regulated instrument under the laws of the United States (including the Securities Act of 1933, the Securities Exchange Act of 1934, the Commodity Exchange Act, and state "blue sky" laws) and of any other country, and for obtaining any registration, exemption, license or approval required; (c) anti-money-laundering, counter-terrorist-financing, know-your-customer, sanctions and tax obligations that may apply to you or your token; (d) the accuracy and lawfulness of your token's name, symbol, logo, description, website, documents, announcements and public page, and of every statement you make about it anywhere; (e) any claims by holders, recipients, partners, regulators or others relating to your token; (f) your distribution decisions, including allocations, vesting, airdrops, liquidity pools and locks, and their consequences.
6.2 By deploying a token on a live network you represent and warrant that: you have taken your own advice on the matters in 6.1; you are not offering the token as an investment or with any promise or expectation of profit derived from the efforts of Metatron or others, except as permitted by applicable law and with any required registration or exemption; you hold all rights to the token's name, symbol, logo and content; and you will not use the token or the Service for any purpose listed in Section 7.
6.3 The attestations you tick in the Service (for example, that you do not promise anyone a return and that you are responsible for how the token is run and described) are your own statements. Metatron does not verify them, does not assess whether your token is a security, and does not advise on that question. If you are unsure, consult a qualified attorney before deploying.
7. Prohibited uses
You will not, and will not allow others to, use the Service or any token created through it to:
(a) offer or sell securities or other regulated instruments without the registration, exemption or license required by law; (b) engage in market manipulation, wash trading, spoofing, "volume bots", pump-and-dump schemes, misleading "trending" tactics, or any deceptive or manipulative practice; (c) defraud, deceive or mislead any person, including by false statements, impersonation, rug pulls, hidden control, or undisclosed insider allocations; (d) launder money, finance terrorism, evade sanctions, or facilitate any of these; (e) infringe intellectual property, publicity, privacy or other rights, or use names, symbols or logos of third parties without authorization; (f) distribute malware, attack, probe, scrape, overload, reverse engineer (except as permitted by law) or interfere with the Service or its infrastructure; (g) create tokens or content that are unlawful, defamatory, hateful, harassing, sexually explicit involving minors, or that promote violence; (h) circumvent any access control, rate limit, screening, fee, or acceptance step; (i) misrepresent your identity, location, eligibility or relationship with Metatron, or suggest that Metatron endorses, guarantees or is affiliated with your token; (j) violate any applicable law or these Terms.
We may investigate, refuse, suspend, remove content or tokens from the Service, disable public pages, and cooperate with authorities, at our discretion and without notice.
8. Sanctions, restricted persons and jurisdictions
8.1 The Service is not available to, and you represent that you are not: (a) a person or entity on the U.S. Treasury Department's Specially Designated Nationals and Blocked Persons List or any other U.S., EU, UK, UN or Israeli sanctions or restricted-party list; (b) located, organized or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions; (c) owned or controlled by, or acting on behalf of, any of the above; or (d) prohibited by law from using the Service.
8.2 We may screen connected wallet addresses and other information against public sanctions sources and may refuse or block service to any address or person that appears on them or that we reasonably believe to be restricted. We are not responsible for false positives or for losses arising from a refusal.
8.3 You are responsible for compliance with the laws of your state or country, including any state laws that regulate virtual-currency businesses. Metatron offers a non-custodial software tool and does not provide money transmission or custody; if your state requires anything of you in connection with your token, that is your responsibility.
9. Accounts and security
9.1 You must provide accurate account information and keep it current. You are responsible for all activity under your account and for keeping your login methods secure. Tell us immediately at [SECURITY EMAIL] if you suspect unauthorized use.
9.2 We may require re-acceptance of updated Terms or Privacy Policy before further use. We keep records of your acceptances and of the acknowledgments you give before live-network actions, and may rely on them.
9.3 The optional "Managed console" subscription and any admin or approval settings do not change Sections 3 to 8. They are conveniences of the software.
10. Third-party services, wallets and networks
10.1 The Service depends on and links to services we do not control, including wallets (such as MetaMask, Coinbase Wallet, Base Account, Rabby, Phantom, Trust Wallet, Rainbow, Ledger and WalletConnect), blockchain networks and their validators, RPC and data providers, block explorers and verification services, liquidity protocols and pools, locker contracts, aggregators and listing sites, exchanges, messaging platforms (such as Telegram and X), payment processing (Paddle), authentication providers, and open-source software. Each is governed by its own terms and privacy practices.
10.2 We are not responsible for the availability, accuracy, security, fees, changes, outages, forks, congestion, failures, policies, decisions or conduct of any third party or network, or for any loss caused by them, including network fees ("gas") you pay, failed or stuck transactions, slippage, front-running, or a wallet's or network's refusal to process a transaction.
10.3 Links and integrations are provided for convenience only and do not imply endorsement.
11. Fees and payments
11.1 Fees for the Service (such as a one-time launch fee and the optional Managed console subscription) are shown at checkout before you pay. Prices are in U.S. dollars unless shown otherwise and may change for future purchases with notice.
11.2 Payments are processed by Paddle.com Market Ltd. and its affiliates ("Paddle") as merchant of record. Paddle's checkout terms and privacy policy apply to the payment itself. Paddle handles applicable sales taxes and VAT.
11.3 Refunds. Because a live-network deployment is permanent and cannot be undone, launch fees are not refundable once the corresponding mainnet deployment transaction has been submitted to the network. Before that point, and for subscriptions, refund requests are handled under Paddle's refund policy and applicable law. Managed console subscriptions renew monthly until cancelled; you may cancel at any time through the customer portal, effective at the end of the current period.
11.4 Network fees are paid by you to the relevant network and are never paid to Metatron. Estimates we show are estimates only.
11.5 Discounts (for example, for users arriving from Metatron Launch) are applied at checkout as shown and may be withdrawn for future purchases at any time.
12. Public token pages, content and DMCA
12.1 The Service lets you publish a public page for your token, link hubs, documents, claim pages and similar content ("Your Content"). You choose whether it is public and what it shows. Your Content is yours. You grant Metatron a non-exclusive, worldwide, royalty-free license to host, display, reproduce, adapt (for formatting) and distribute Your Content as needed to operate the Service, including in search previews and social cards, for as long as it is published and for a reasonable period afterward for backups.
12.2 You represent that you have all rights to Your Content, that it is accurate, and that it does not violate Section 7. We may remove Your Content that we reasonably believe violates these Terms or the law.
12.3 DMCA. If you believe content on the Service infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent: [DMCA AGENT NAME], [ADDRESS], [DMCA EMAIL]. We respond to valid notices, may remove or disable the content, and terminate repeat infringers. Counter-notices may be sent to the same agent under § 512(g).
12.4 Information written to a blockchain, and any page you make public, is public and may be permanent, copied and indexed by others. We cannot erase on-chain data.
13. Intellectual property, open source and feedback
13.1 The Service, its software, design, brand, marks, templates' arrangement, documentation and content (excluding Your Content and open-source components) are owned by Metatron or its licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service as permitted by these Terms. All other rights are reserved. "Metatron", "Metatron Launch", "Metatron Launchpad" and the Path M mark are trademarks of Metatron; you may not use them without written permission, including to suggest endorsement of your token.
13.2 Token contracts deployed through the Service are compiled from fixed templates built on OpenZeppelin Contracts and other open-source components under their respective licenses (including MIT). Those licenses govern the deployed code. Source code is verified on public explorers where available; "verified" means the published source matches the deployed bytecode, not that the contract is secure, correct or fit for your purpose. The deployed contract is controlled by the wallet that deployed it, not by Metatron.
13.3 If you give us feedback or suggestions, we may use them without obligation to you.
14. Risks you accept
You understand and accept, among others, these risks: blockchain networks can be congested, forked, halted or attacked; smart contracts, including those built from audited components and those deployed through factories or lockers, can contain bugs or be exploited; wallets, devices and browsers can be compromised; phishing and impersonation are common; private keys and seed phrases can be lost with no recovery; token prices, liquidity and markets can be volatile or non-existent; regulatory treatment of tokens can change and can be applied retroactively; third-party services can change terms, fees or availability; and transactions you sign are irreversible. You are responsible for evaluating these risks and for any professional advice you need before acting.
15. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, ALL CONTENT, TEMPLATES, GUIDES, DOCUMENTS, READINESS AND HEALTH INDICATORS, DATA, AND ANY DEPLOYED CONTRACT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. METATRON EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. METATRON DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, THAT ANY DATA IS ACCURATE OR COMPLETE, THAT ANY CONTRACT WILL BEHAVE AS INTENDED, OR THAT ANY TOKEN WILL BE LISTED, TRADED, VALUED OR ADOPTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM METATRON OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL METATRON, ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, PARTNERS, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF TOKENS, DIGITAL ASSETS, FUNDS, PRIVATE KEYS, DATA, PROFITS, REVENUE, GOODWILL, OPPORTUNITY OR BUSINESS, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, ANY TOKEN, ANY WALLET, ANY NETWORK OR ANY THIRD-PARTY SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, METATRON IS NOT LIABLE FOR ANY THEFT, HACK, EXPLOIT, PHISHING, UNAUTHORIZED ACCESS TO OR LOSS OF YOUR WALLET, KEYS, TOKENS OR FUNDS, HOWEVER CAUSED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METATRON'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO METATRON FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE METATRON'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
17. Indemnification
To the maximum extent permitted by law, you will defend, indemnify and hold harmless Metatron and its founders, officers, directors, employees, contractors, partners and affiliates from and against any claims, demands, investigations, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your token, its creation, distribution, marketing, operation or holders; (b) Your Content; (c) your use of the Service; (d) your breach of these Terms or of any law; or (e) any dispute between you and any third party. We may assume the exclusive defense of any matter subject to indemnification, and you will cooperate. This Section does not apply to the extent prohibited by applicable consumer-protection law.
18. Suspension and termination
18.1 We may suspend or terminate your access to the Service, remove content, or disable public pages at any time, with or without notice, including for breach, legal risk, security, or discontinuation of the Service. You may stop using the Service at any time and may delete your account subject to the Privacy Policy.
18.2 Termination does not affect deployed contracts, which continue to exist on their networks under the control of the deploying wallet, and does not affect Sections 3 to 8 and 12 to 27, which survive.
19. Changes to the Service and to these Terms
We may change the Service at any time. We may change these Terms by posting a new version with a new effective date and version number; for material changes we will notify you by email or in the Service and require re-acceptance before further use. Continued use after the effective date is acceptance. The version you accepted governs disputes arising before a new version's effective date.
20. Electronic communications and notices
You consent to receive notices, disclosures and communications electronically (in the Service and by email to your account address). Transactional emails (acceptances, receipts, security, reminders you enabled) are part of the Service; marketing emails, if any, include an unsubscribe link. We do not send SMS. Notices to us go to [LEGAL EMAIL] and [ADDRESS].
21. Dispute resolution: binding arbitration and class action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES INDIVIDUALLY AND LIMITS THE WAYS YOU CAN SEEK RELIEF.
21.1 Informal resolution first. Before starting arbitration or any proceeding, you and Metatron agree to try to resolve any dispute informally: send a written notice describing the dispute and the relief sought to [LEGAL EMAIL] (we will send ours to your account email), then engage in good-faith discussion for at least 60 days. Limitation periods are tolled during this period.
21.2 Agreement to arbitrate. Except as provided in 21.5, any dispute, claim or controversy arising out of or relating to these Terms, the Service, any token, or the relationship between you and Metatron, including its existence, validity, scope, enforceability and arbitrability, will be resolved by binding individual arbitration administered by the [American Arbitration Association ("AAA") under its Consumer Arbitration Rules / JAMS under its Streamlined Arbitration Rules — COUNSEL TO SELECT] then in effect, as modified by this Section. This agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
21.3 How it works. One neutral arbitrator; the arbitrator may award the same individual relief a court could; hearings, if any, by video or in the county where you reside in the U.S., or as the rules provide; arbitration fees allocated per the administrator's consumer rules (Metatron will pay the filing and arbitrator fees to the extent the rules require or a fee exceeds the amount you would pay in court); the arbitrator's award is final and may be entered in any court of competent jurisdiction; either party may seek to recover attorneys' fees only as permitted by law or the rules.
21.4 Class action and jury trial waiver. YOU AND METATRON EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION OR ARBITRATION. The arbitrator may not consolidate claims of more than one person or award relief to anyone other than the individual claimant, except as provided in 21.7. If this waiver is found unenforceable as to a particular claim, that claim must be brought in court under Section 22, and the waiver still applies to all other claims.
21.5 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies; (b) seek injunctive or other equitable relief in court to protect intellectual property or prevent unauthorized use of the Service; and (c) bring claims that applicable law says cannot be arbitrated.
21.6 30-day opt-out. You may opt out of this arbitration agreement by emailing [LEGAL EMAIL] within 30 days after first accepting these Terms, stating your account email and that you opt out of arbitration. Opting out does not affect the rest of these Terms. Your opt-out applies to future versions of this Section.
21.7 Mass arbitration. If 25 or more demands with common issues are filed by or with the same or coordinated counsel, the parties agree to batch and staged processing (batches of [25 — COUNSEL]) with a single arbitrator per batch, and the filing fees for later batches are deferred until earlier batches conclude; the administrator's mass-arbitration procedures apply to the extent consistent with this Section. A court may enforce this subsection.
21.8 Severability. If any part of this Section other than 21.4 is found unenforceable, it will be severed and the rest enforced. This Section survives termination.
22. Governing law and venue
These Terms and any dispute are governed by the laws of the State of [Delaware / New York — COUNSEL TO SELECT], without regard to its conflict-of-laws rules, and, where applicable, by U.S. federal law. Subject to Section 21, the state and federal courts located in [Wilmington, Delaware / New York County, New York — COUNSEL] have exclusive jurisdiction, and you consent to their personal jurisdiction. Nothing in this Section deprives you of mandatory consumer-protection rights of your state or country that cannot be waived by contract.
23. Notices for U.S. residents
23.1 California. Under California Civil Code § 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. The Service is provided by [ENTITY LEGAL NAME], [ADDRESS], [LEGAL EMAIL].
23.2 New Jersey. Nothing in Sections 15 to 17 limits liability that cannot be limited under New Jersey law, including for gross negligence, willful misconduct, or as provided in the Truth-in-Consumer Contract, Warranty and Notice Act.
23.3 [COUNSEL: additional state-specific carve-outs as needed.]
24. Export controls
You will comply with U.S. and other applicable export-control and sanctions laws and will not export, re-export or transfer the Service or any technology obtained through it in violation of those laws.
25. Force majeure
We are not liable for any delay or failure caused by events beyond our reasonable control, including network failures, attacks, outages of third-party providers, changes in law or regulatory action, labor disputes, war, terrorism, epidemics, natural disasters, or failures of the internet or blockchain networks.
26. Miscellaneous
These Terms, the Privacy Policy and any checkout terms are the entire agreement between you and Metatron about the Service and supersede prior agreements. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. No agency, partnership, joint venture or employment relationship is created. Headings are for convenience. The English version controls over any translation. Sections that by their nature should survive termination do.
